Terms of Use
Effective Date: August 26, 2026
These Terms of Services (“Terms”) govern your access to and use of https://vitalisdirect.com (the “Site”) and any ordering, scheduling, mobile specimen collection, laboratory testing coordination, results delivery, or related services made available through the Site (collectively, the “Services”) by Vitalis Direct (“Vitalis Direct,” “we,” “us,” or “our”). By accessing or using the Site or Services, placing an order, scheduling an appointment, or submitting information through the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
These Terms should be read together with our Privacy Policy and any applicable health information notice, consent form, cancellation/refund policy, or other policy presented to you when you order or receive Services.
1. Eligibility
You must be at least 18 years old to use the Site or order Services for yourself. By using the Site or Services, you represent that you have legal authority to provide the information submitted and that the information is truthful, accurate, and complete. You further represent that any orders for Services are for your personal use and that you are not ordering Services for a minor or another person.
2. Description of the Services
Vitalis Direct is a technology platform that enables consumers to access laboratory testing panels and coordinate mobile specimen collection at a customer-selected home, office, or other eligible location. A trained mobile phlebotomist or other qualified collection professional may visit the selected location to collect blood or other specimens. Specimens collected through the platform are submitted to an independent clinical laboratory for testing and analysis, which may be an affiliate of Vitalis Direct (including Concord Life Sciences LLC dba Principle Laboratory) or another third-party laboratory (collectively, the “Laboratory”). Vitalis Direct is not a healthcare provider and does not itself operate a clinical laboratory, perform laboratory testing, or provide medical services.
Available tests, service areas, appointment availability, expected turnaround times, and pricing may vary. References on the Site to typical or expected result-delivery times are estimates and are not guarantees.
Vitalis Direct reserves the right to modify, discontinue, or limit availability of any test, service area, or feature at any time without prior notice, subject to applicable law. Nothing on the Site constitutes an offer to provide Services in any jurisdiction where such Services are prohibited or restricted.
3. No Medical Advice; No Emergency Services
The Site and Services are intended to facilitate access to laboratory testing and health information only. They do not replace evaluation, diagnosis, treatment, or individualized clinical interpretation from a licensed healthcare professional. Vitalis Direct does not provide medical advice and no physician-patient relationship is created between you and Vitalis Direct, the Laboratory, or any of their officers, directors, employees, or agents, including collection professionals, laboratory directors, or other personnel through your use of the Site or Services, order, specimen collection, or receipt of results.
Vitalis Direct does not provide emergency medical services through the Site or mobile collection service. If you believe you are experiencing a medical emergency, call 911 or seek immediate emergency care. VITALIS DIRECT DISCLAIMS ALL LIABILITY FOR DAMAGES RESULTING FROM ANY DELAY IN SEEKING EMERGENCY MEDICAL TREATMENT.
Do not delay seeking medical advice or treatment because of information obtained through the Site or because you are waiting for a laboratory test or result.
4. Laboratory Results and Clinical Interpretation
By electronically accepting or signing these Terms, placing an order, scheduling mobile collection, or providing a specimen, you give informed consent for Vitalis Direct, the Laboratory, and their respective qualified collection professionals to collect, handle, and transport the biological specimens identified in your order, including blood, urine, saliva, or other specimens; for the Laboratory to perform the selected laboratory tests on those specimens; and for Vitalis Direct and the Laboratory to release the results directly to you, subject to applicable law and the delivery method described for the test (collectively, the “DAT Services”). This section is the testing consent for Services ordered through the Vitalis Direct platform. If you do not consent, do not place an order or provide a specimen.
Direct Access Testing (“DAT”) permits an individual to initiate certain laboratory testing without a physician’s order. Tests ordered through the platform are not ordered by a physician or qualified non-physician practitioner. DAT Services and their reference ranges are informational only and are not a substitute for evaluation, diagnosis, treatment, or medical advice from a licensed healthcare provider. You must consult a licensed healthcare provider before making medical decisions or starting, stopping, or changing treatment. Vitalis Direct does not undertake to diagnose conditions, prescribe treatment, or provide ongoing clinical management. You are responsible for discussing results and medical decisions with an appropriate licensed healthcare professional.
Results will be delivered directly to you through the contact information or account you provide, subject to applicable law and the delivery method described for the test. We do not routinely send DAT results to your personal physician. You are solely responsible for promptly sharing your results with your physician or other licensed healthcare provider and for obtaining follow-up care. Vitalis Direct disclaims any liability arising from your reliance on test results without consulting a qualified healthcare provider.
Laboratory results are one source of health information and should be interpreted in the context of your medical history, symptoms, medications, and other clinical information. A result outside a reference range does not necessarily establish a diagnosis, and a result within a reference range does not necessarily rule out a medical condition. Laboratory testing has inherent limitations, including false-positive and false-negative results. Results may also be affected by specimen quality, timing, medications, biological variation, and the test method.
Result availability can be affected by specimen quality, laboratory processing, confirmatory testing, technical issues, weekends, holidays, or other circumstances. A recollection or repeat test may sometimes be required.
Urgent or Critical Results. DAT is not appropriate for urgent or emergency medical needs. If the Laboratory identifies an urgent or critical result requiring notification under its policies or applicable law, Vitalis Direct or the Laboratory will make reasonable efforts to contact you using the telephone number, email address, or other contact method you provide, may leave a limited voicemail asking you to call back, and, if you have provided an emergency contact and we cannot reach you, may contact that person solely to help reach you. You are responsible for immediately reporting the results to your physician or other licensed healthcare provider; if you have an emergency, call 911 or go to an emergency department. Neither Vitalis Direct nor the Laboratory provides emergency care or medical interpretation through this process, and we do not routinely notify your personal physician unless required by law or separately authorized.
Withdrawal of Consent. You may withdraw this testing consent at any time before the Laboratory begins processing your specimen by contacting Vitalis Direct or telling the collection professional. Withdrawal may not stop testing or reporting that has already begun, and it does not require deletion or return of information or specimens that Vitalis Direct or the Laboratory must retain under applicable law, CLIA requirements, or laboratory policy. Any refund or cancellation consequences are governed by the applicable policy disclosed before purchase.
Public Health Reporting. The Laboratory will report communicable diseases, conditions, or laboratory results to public health authorities when required or permitted by applicable law. Such disclosures may occur without additional consent to the extent required by law.
Employee Exposure Testing. If a collection professional or other worker has an accidental occupational exposure to your blood or other specimen, you consent to Vitalis Direct or the Laboratory testing an appropriate specimen, including for HIV and viral hepatitis, as reasonably necessary for exposure evaluation and management, subject to applicable law. If the original specimen is unavailable or insufficient, we may request an additional specimen. Results may be shared with you and the exposed worker or the worker’s healthcare providers as permitted or required by law.
By accepting these Terms, you acknowledge that you have had an opportunity to review this testing consent and ask questions before collection, and that you understand the informational nature and limitations of DAT Services. If you do not understand or agree to this testing consent, do not use the Services or provide a specimen.
5. Orders, Appointments, and User Information
When you place an order, schedule an appointment, submit a form, or provide other information through the Site:
- You represent that the information you provide is truthful, accurate, current, and provided by you or with appropriate authorization.
- You agree to provide complete contact, identity, scheduling, and health-related information reasonably necessary to fulfill the Services.
- You authorize Vitalis Direct to use and share information as described in our Privacy Policy and applicable health information notices for purposes such as order processing, scheduling, specimen collection, laboratory testing, results delivery, customer support, billing and payment, and coordination with laboratories or healthcare partners.
- You are responsible for reviewing your order details and following any preparation instructions, including fasting or medication-related instructions when applicable and when directed by an appropriate healthcare professional.
- We may contact you by the methods you provide regarding your order, appointment, specimen, results availability, or other service-related matters.
6. Mobile Specimen Collection
Mobile specimen collection involves routine clinical procedures that can carry risks such as temporary discomfort, bruising, bleeding, lightheadedness, fainting, infection, hematoma, nerve irritation, or unsuccessful collection. You may ask the collection professional to stop before collection is complete, and you must tell the collection professional about relevant conditions or circumstances that could affect collection safety, including a history of fainting, bleeding disorders, allergies, or other pertinent concerns.
You are responsible for providing a safe, appropriate, and reasonably accessible location for the mobile visit. We may refuse, stop, or reschedule a collection if the location is unsafe, inaccessible, outside the service area, or otherwise unsuitable for the Services.
Specimens that are insufficient, compromised, mislabeled, improperly collected, or otherwise unsuitable for testing may require recollection. The handling of any recollection fee or replacement test should follow the applicable policy disclosed at the time of service.
7. Scheduling, Cancellations, and No-Shows
Appointment dates and times are subject to availability and may change because of traffic, weather, staffing, specimen-handling requirements, operational issues, or circumstances outside our reasonable control. We will make reasonable efforts to communicate material scheduling changes.
Cancellations, rescheduling, late arrivals, no-shows, refunds, credits, and any related fees are governed by the cancellation and refund terms presented at checkout or otherwise made available to you before purchase or service.
8. Pricing, Payment, and Insurance
Prices for tests and mobile services are displayed through the Site or checkout process and may change from time to time. You agree to pay all charges disclosed and authorized at the time of purchase, together with any applicable taxes or fees.
Services ordered through the Vitalis Direct platform are cash-pay only. Vitalis Direct and the Laboratory will not bill, submit a claim to, or seek payment from any health insurer, health plan, employer-sponsored health plan, Medicare, Medicaid, or other federal, state, or governmental payer for those Services. You are solely responsible for all charges disclosed at checkout or before service. Medicare does not cover diagnostic laboratory tests ordered directly by a consumer that are not ordered by a treating physician or qualified non-physician practitioner, so you should not expect Medicare reimbursement for these Services.
Because these are cash-pay Services, you should not expect a health plan, Medicare, Medicaid, employer, HSA/FSA administrator, or other third party to reimburse you or apply the charges to a deductible; any reimbursement is outside Vitalis Direct’s control. If a payment is declined, reversed, charged back, or otherwise not completed, we may suspend fulfillment of the affected order to the extent permitted by law.
9. Third-Party Laboratories, Providers, and Technology Services
Vitalis Direct operates the Site and coordinates ordering, scheduling, payment collection, mobile specimen collection, customer communications, and delivery of results for Services ordered through the platform. Vitalis Direct may work with affiliated or independent laboratories, mobile collection personnel, healthcare professionals, payment processors, communications providers, hosting providers, analytics services, and other vendors to provide or support the Site and Services. The role of each party may vary depending on the test or service selected.
The Site also uses third-party tools for analytics, advertising, communications, security, and functionality, including tools described in our Privacy Policy.
10. Privacy and Health Information
Your use of the Site and Services may involve the collection, use, disclosure, and storage of personal information and health-related information. Our Privacy Policy and any applicable health information notice describe our privacy practices and should be reviewed before you use the Services.
Depending on the Services and the parties involved, certain health information may be subject to HIPAA or other federal or state health privacy laws, while other information may be governed by different privacy requirements. Vitalis Direct will handle personal and health-related information in accordance with applicable law and the privacy notices provided to you.
11. Intellectual Property
The Site and its content, including text, graphics, logos, images, test descriptions, and software, are owned by Vitalis Direct or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may view and use the Site for personal, non-commercial purposes only. You may not copy, reproduce, distribute, modify, sell, or create derivative works from Site content without prior written consent except as permitted by applicable law.
12. Prohibited Conduct
You agree not to:
- Use the Site or Services for any unlawful, fraudulent, abusive, or unauthorized purpose.
- Submit false, misleading, incomplete, or fraudulent information, including information about identity, eligibility, health status, payment, or authorization to act for another person.
- Attempt to gain unauthorized access to the Site, systems, accounts, results, records, or information belonging to another person.
- Interfere with or disrupt Site operation, security, laboratory or scheduling workflows, including through unauthorized bots, scraping, malware, or automated data collection.
- Circumvent, disable, or interfere with security features, authentication controls, reCAPTCHA, or similar protections.
- Impersonate another person or entity, misuse another person’s test order or results, or misrepresent your affiliation with a healthcare provider, laboratory, employer, or other organization.
13. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT A PARTICULAR TIME. WE DO NOT GUARANTEE THAT ANY PARTICULAR TEST WILL BE APPROPRIATE FOR YOUR INDIVIDUAL MEDICAL NEEDS, THAT A SPECIMEN WILL BE SUCCESSFULLY COLLECTED ON THE FIRST ATTEMPT, OR THAT RESULTS WILL BE AVAILABLE WITHIN A PARTICULAR TIMEFRAME.
Nothing in these Terms excludes, disclaims, or limits warranties or rights that cannot lawfully be excluded, disclaimed, or limited.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VITALIS DIRECT, ITS AFFILIATES (INCLUDING CONCORD LIFE SCIENCES, LLC), AND THEIR RESPECTIVE OFFICERS, MANAGERS, EMPLOYEES, AND AGENTS, COLLECTION PROFESSIONALS, AND THE LABORATORY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THEIR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SITE OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO VITALIS DIRECT FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including any rights or remedies that are non-waivable under applicable law.
15. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Vitalis Direct, the Laboratory, and their respective officers, managers, employees, agents, and affiliates from third-party claims, damages, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising from your unlawful or unauthorized use of the Site or Services, material misrepresentations in information you submit, or your violation of these Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except where applicable law requires otherwise.
Any dispute arising from or relating to these Terms, the Site, or the Services will be resolved in a court of competent jurisdiction located in Harris County, Texas, unless applicable law requires a different forum.
You consent to the personal jurisdiction of the applicable state and federal courts in Harris County, Texas for disputes that may lawfully be brought in those courts.
17. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated “Last Updated” date. Where required by law, we will provide additional notice or obtain consent. Your continued use of the Site or Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
18. Suspension and Termination
We may suspend or terminate access to the Site or Services for conduct that violates these Terms, threatens security or safety, involves fraud or misuse, or is otherwise harmful to users, Vitalis Direct, our partners, or third parties, subject to applicable law and any obligations associated with an already-collected specimen or completed healthcare service. Provisions that by their nature should survive termination will survive.
19. Severability; Entire Agreement; Waiver
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy and any other policies or consents expressly incorporated into a transaction, constitute the agreement between you and Vitalis Direct regarding use of the Site and Services. Our failure to enforce a provision is not a waiver of the right to enforce it later.
Vitalis Direct will not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, labor disputes, governmental actions, power failures, internet or telecommunications failures, cyberattacks, or third-party service disruptions (“Force Majeure Event”). If a Force Majeure Event occurs, our obligations will be suspended for the duration of the event.
